INFORMATION CONTAINED IN THIS REPORT ON FORM 6-K

On October 3, 2022, Procaps Group, S.A. (the “Company”) received approval from the Mexican antitrust authority (Comisión Federal de Competencia Económica de México) regarding the Company’s previously-announced acquisition of Grupo Somar (including Grupo Farmacéutico Somar, S.A.P.I de C.V., Química y Farmacia S.A. de C.V., Gelcaps Exportadora de Mexico S.A. de C.V. and related entities). The closing of the acquisition is expected to occur in the fourth quarter of 2022, subject to closing conditions.
